Omnividi Terms of Service

1. Introduction and Acceptance
Welcome to Omnividi ("we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Omnividi mobile application (the "App"), website, and any related services (collectively, the "Services").
By creating an account, downloading the App, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Eligibility and Territorial Restrictions
- Age Requirement: You must be at least 18 years old to use Omnividi. By using the Services, you represent and warrant that you meet this age requirement.
- Geographic Restriction: The Services are currently intended for use specifically within the Federal Republic of Nigeria. We make no representation that the Services are appropriate or available for use in other locations.
- Identity Verification Requirement: To ensure the integrity of our network, you must possess a valid, government-issued identity document (specifically a National Identity Number - NIN) to register as a verified user and post incident reports.
3. User Accounts and Security
- Registration Accuracy: You agree to provide accurate, current, and complete information during the registration process, including your real phone number and identity verification data. Providing false identity information is a severe violation of these Terms and may violate applicable laws.
- Identity Verification: You consent to Omnividi utilizing third-party verification services to validate your NIN and perform biometric face matching. This is done to ensure accountability.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. You are solely responsible for all activities that occur under your account.
4. The Nature of the Service and Limitations
Omnividi is a hyperlocal intelligence platform designed to crowdsource security information. It is based on "Proof of Presence" technology.
- No Guarantee of Safety: Omnividi is an information tool. Use of the App does not guarantee your safety or immunity from crime, unrest, or other hazards.
- Information Accuracy: While we employ mechanisms like geolocation locking and identity verification to reduce fake news, we cannot guarantee the complete accuracy, timeliness, or authenticity of every report posted by users. You rely on information provided through the Services at your own risk.
- Technology Limitations: The "Proof of Presence" technology relies on device GPS, network connectivity, and hardware sensors. These can be subject to errors, interference, or manipulation by sophisticated bad actors. We do not guarantee that these technologies are infallible.
5. User Conduct and Acceptable Use
You are solely responsible for your conduct and any content (videos, audio, text, location data) you submit via the App ("User Content").
You agree NOT to:
- Post Fake Incidents: Create, upload, or spread false, misleading, or staged reports of security incidents, crimes, or emergencies. This includes attempting to "spoof" your GPS location to report from somewhere you are not.
- Misuse Emergency Reporting: Use the reporting tools for frivolous, non-security-related matters.
- Post Illegal or Harmful Content: Submit content that is defamatory, obscene, pornographic, incites violence, promotes hate speech, violates intellectual property rights, or depicts sexual violence and nonconsensual sexual content.
- Doxxing and Harassment: Use the service to expose the private information of others without consent or to harass, bully, or intimidate individuals.
- Reverse Engineer: Attempt to decompile, reverse engineer, or bypass the security features of the App, specifically the live-camera and gallery-upload restrictions.
- Botting: Use automated systems, bots, or scrapers to access the Services or create accounts.
6. User Content License
You retain ownership of the User Content you create. However, to operate the Service, we need a license from you.
By submitting User Content to Omnividi, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and Omnividi's (and its successors' and affiliates') business.
This license specifically includes the right for Omnividi to:
- Verify the authenticity of the content using AI and manual review.
- Display the content to other users (publicly associated with your pseudonym, not your real name).
- Share the content with law enforcement if required by law or in an emergency.
- Anonymize and Aggregate: We may anonymize your User Content and combine it with other data to create aggregated intelligence products (such as security heatmaps or risk trend analysis) for commercial partners. You will not be personally identified in these aggregated products, and you are not entitled to compensation for this use.
7. Privacy Policy
Your privacy is important to us. Our collection and use of your personal information, including sensitive location and biometric data, is governed by our Privacy Policy. By using these Terms, you explicitly consent to the practices described in the Privacy Policy.
8. Intellectual Property Rights
The Services, including the "Omnividi" name, logo, the underlying software, algorithms, AI models, and interface design, are the exclusive property of Omnividi or its licensors. You agree not to copy, modify, or create derivative works based on our intellectual property.
9. Third-Party Services and Links
The Services may contain links to third-party websites or utilize third-party maps (e.g., Google Maps). Your use of those third-party services is subject to their respective terms and conditions. Omnividi is not responsible for the content or practices of third-party services.
10. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Specifically, zero tolerance applies to posting fake security alerts or attempting to bypass verification measures. Such actions will result in immediate, permanent account termination and potential reporting to relevant authorities.
11. Disclaimers of Warranties
The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Omnividi disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free, or that any information obtained from the services will be accurate or reliable.
12. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Omnividi, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, or for any damages for personal or bodily injury or emotional distress, arising out of or in connection with your use of, or inability to use, the services, or your reliance on any content found on the services, whether based on warranty, contract, tort (including negligence), or any other legal theory.
In no event shall Omnividi's aggregate liability for all claims relating to the services exceed the greater of five thousand naira (₦5,000) or the amount paid by you, if any, to Omnividi in the last 12 months.
13. Indemnification
You agree to defend, indemnify, and hold harmless Omnividi, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your violation of these Terms; or (iii) your User Content (including any claims that your content is fake, defamatory, or infringes third-party rights).
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act Cap A18 LFN 2004. You agree to waive any right to a jury trial or to participate in a class action.
15. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or via email. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
